About us and these terms
Indian Footage Media Pvt. Ltd., CIN U73100UP2026PTC251982, registered in Varanasi, Uttar Pradesh, India, operates the website and digital services under the brand name IF Media ("IF Media", "we", "us", "our").
These Terms of Services, together with any plan, offer or statement of work you accept, form a binding agreement between you and Indian Footage Media Pvt. Ltd. By creating an account, uploading a release, subscribing to a plan or otherwise using the platform, you agree to these terms. If you accept on behalf of a label, band, company or trust, you confirm you are authorised to bind that entity.
If you do not accept these terms, please do not use the platform.
Definitions
- "Platform" means our website, dashboards, APIs and any related tooling we make available.
- "Content" means sound recordings, audiovisual works, artwork, metadata, lyrics, compositions and any other material you upload or deliver.
- "Stores" means streaming services, download stores, social platforms, UGC platforms and collecting societies we deliver to or administer for.
- "Net Receipts" means amounts actually received by us from Stores for your Content, after Store deductions, taxes, currency conversion costs and third-party administration fees.
Eligibility and accounts
You must be at least 18 years old, or use the platform under the supervision and consent of a parent or legal guardian, to open an account. You agree to provide accurate, current and complete information and to keep it up to date.
You are responsible for all activity carried out through your account and for keeping your credentials confidential. Notify us immediately at info@ifmedia.in if you suspect unauthorised access. We may refuse, suspend or reclaim an account name that impersonates another person or misrepresents an affiliation.
Our services
Depending on the plan or agreement you accept, we provide:
- Digital distribution of audio and audiovisual releases to Stores worldwide.
- YouTube Content ID, rights management and monetisation of user-generated uses.
- Publishing administration, catalogue registration, and collection from societies.
- Multi-channel network (MCN) services for video creators.
- Marketing support, playlist and editorial pitching, paid advertising and analytics.
- Metadata management, cover artwork compliance review and catalogue cleanup.
Services are provided on a best-efforts basis. We do not guarantee delivery to any specific Store, editorial placement, playlist addition, chart position, stream count or revenue outcome.
Term, territory and appointment
Unless a separate written agreement states otherwise, the appointment is non-exclusive and worldwide, and continues for as long as you maintain an active account or a release remains delivered to Stores.
You may request withdrawal of a release at any time. Removal from Stores is carried out as quickly as reasonably possible, but Stores control their own timelines and may retain historical reporting, cached pages or derived content. Royalties earned before removal and amounts received by us after removal remain payable to you in accordance with section 11.
Ownership of your content
You keep full ownership of the master recordings, compositions, artwork, metadata and other Content you upload. Nothing in these terms transfers ownership of your Content to us.
You grant us a non-exclusive, worldwide, royalty-free licence to store, encode, transmit, deliver, promote and administer your Content for the term of our appointment, strictly for the purpose of providing the services you have requested. This licence survives only as long as necessary for Stores and societies to complete reporting and payment cycles after removal.
Your responsibilities and warranties
You represent and warrant that:
- You own or control all rights necessary to distribute the Content in every territory requested.
- All samples, interpolations, features, cover versions and remixes are cleared, and any mechanical or publisher licences required have been obtained.
- All metadata, contributor credits, ISRC and UPC codes you supply are accurate and complete.
- The Content and artwork do not infringe copyright, trademark, publicity, privacy or any other right of a third party.
- You have authority to receive and direct the royalties generated by the Content.
You are responsible for the accuracy of all information supplied to Stores and societies through us, and for any claim arising from inaccurate or incomplete delivery data.
Delivery, timelines and store discretion
Releases submitted with complete audio, artwork and metadata are typically delivered to Stores within the window stated on your plan, subject to quality review. Stores may take additional time to make a release live, and may reject, restrict, re-classify or delist material at their sole discretion.
We may decline or return a release that fails technical or metadata requirements, contains prohibited content, or raises a rights concern. Repeated quality failures may attract additional review or fees as described at the point of submission.
Fees and payment
Subscription fees, one-off charges, revenue shares and any minimum commitments are set out in the plan or offer you accepted, and are payable in advance unless stated otherwise. Fees are exclusive of applicable taxes, which are added at checkout where required by law.
Subscription fees are non-refundable once a release has been delivered, except where required by law or where we are unable to provide the service. We may suspend delivery and dashboard access for accounts with unpaid fees, without prejudice to royalties already accrued.
Royalties, statements and payouts
Royalties are calculated on Net Receipts attributable to your Content, using the revenue share stated in your plan. Statements are made available in your dashboard once Store reporting is received, which can lag actual listening by one to three months.
Payouts are released once the balance meets the minimum payout threshold shown in your dashboard, and only after payout details and tax documentation have been verified. Store reports are frequently revised: adjustments, reversals, chargebacks, and deductions for artificial streaming or fraud may appear in later statements. You are responsible for bank charges and for any amount sent in error, which we may recover.
Taxes and withholding
You are responsible for all taxes arising from royalties paid to you. Where Indian law requires deduction at source, or where a treaty-based withholding applies, we will deduct and remit the applicable amount and reflect it in your statements. You must provide a valid PAN, GST registration or equivalent documentation where requested; failure to do so may result in higher withholding or a hold on payouts.
Prohibited content and conduct
You may not upload, distribute or promote material that:
- You do not have the rights to distribute.
- Infringes copyright, trademark, publicity, privacy or other rights of a third party.
- Contains hate speech, harassment, defamation or unlawful content.
- Is designed to manipulate streams, charts, playlists or platform analytics.
- Uses another artist's name, likeness, voice or branding without authorisation, including synthetic or cloned voices.
You may not use the platform to launder money, evade taxes, or misrepresent your identity or authority. We may remove Content, withhold payouts or suspend accounts that breach these rules, and may report unlawful activity to the relevant authorities.
Copyright complaints and takedowns
Claims of infringement are handled under our Copyright Issues process. Where we receive a claim, we may notify you, request evidence of your rights and, where appropriate, remove or restrict the release while the matter is reviewed. You may submit a counter-notice with supporting documentation.
We may suspend delivery of a release that is the subject of repeated claims, and recovery of amounts paid out on Content later found to be infringing is governed by section 18.
Anti-fraud
Our Anti-Fraud Policy forms part of these terms. Bought or artificial streams, false ownership claims, catalogue theft and payment fraud may result in withheld royalties, removal of catalogue and closure of your account, in addition to any Store penalties passed on to us.
Suspension and termination
You may close your account at any time through your dashboard or by written notice, subject to releases already delivered to Stores and to any minimum term in your plan.
We may suspend or terminate your access immediately where these terms are breached, where fees remain unpaid, where we are required to do so by a Store, a rights holder or by law, or where continuing to provide the service would expose us or a Store to liability. On termination, sections on ownership, licence survival, unpaid fees, confidentiality, disclaimers, liability and governing law continue to apply.
Third-party platforms and services
Stores, payment providers, advertising platforms and societies operate under their own terms and policies. Their availability, features, pricing and content rules may change without notice, and they may reject or remove Content independently of us. We are not responsible for the acts or omissions of third parties, though we will use reasonable efforts to resolve delivery and reporting issues raised by you.
Confidentiality
Each party will keep confidential any non-public information received from the other in connection with the services, including unreleased audio, commercial terms, royalty data and account credentials, and will use it only for the purposes of this agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law or to a Store, society or professional adviser under a duty of confidence.
Neither party will issue a press release naming the other without prior written consent, except that we may identify you as a client in catalogues, pitch materials and case studies using information you have already made public.
Disclaimers
The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, non-infringement and uninterrupted availability. We do not warrant that the platform will be error-free, that Stores will accept any release, or that statements from Stores will be accurate or timely.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profit, goodwill, streams or opportunity. Our total aggregate liability arising out of or relating to these terms is limited to the greater of the fees you paid to us in the three months before the claim arose, or the royalties held by us on your behalf at that time.
Nothing limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.
Indemnity
You agree to indemnify and hold harmless Indian Footage Media Pvt. Ltd., its directors, officers and employees against claims, losses, Store penalties, legal costs and settlements arising from your Content, your breach of these terms, or your infringement of a third party's rights. We will notify you of any such claim and may, at our option, participate in its defence.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including network or platform outages, cyber-attacks, statutory action, strikes, natural disasters or changes imposed by Stores. Obligations are suspended for the duration of the event, and either party may terminate if it continues for more than sixty days.
Changes to these terms
We may update these terms to reflect changes in our services, Store requirements or applicable law. Material changes will be notified by email or in your dashboard before they take effect. Continuing to use the platform after the effective date means you accept the updated terms.
Governing law and dispute resolution
These terms are governed by the laws of India. The parties will first attempt to resolve any dispute through good-faith discussion for thirty days. Failing resolution, the dispute will be referred to arbitration by a sole arbitrator seated in Varanasi, Uttar Pradesh, conducted in English, and the courts at Varanasi will have exclusive jurisdiction for all matters not subject to arbitration.
Nothing in this section prevents either party from seeking urgent interim relief from a competent court.
Notices and contact
Formal notices to us must be sent to Indian Footage Media Pvt. Ltd., Varanasi, Uttar Pradesh, India, CIN U73100UP2026PTC251982, or by email to info@ifmedia.in. Notices to you may be sent to the email address registered on your account. If any provision of these terms is held unenforceable, the remaining provisions continue in full force.
